Mumbai: Hindustan Lever Limited (HLL) and McLeod Russel India Limited (MRIL) today signed a Memorandum of Understanding for transfer of HLL’s 100% shareholding in Doom Dooma Tea Company Limited (DDTCL).

The Share Holders of Vashisti Detergents Limited (VDL) approved the resolution for amalgamation of the Company with Hindustan Lever Limited at a High Court convened meeting on Saturday.  The motion was approved by 100% valid votes cast in favour of the resolution.

HLL PROPOSES TO TRANSFER DOOM DOOMA AND TEA ESTATES PLANTATION DIVISIONS TO SUBSIDIARIES
08/04/2005:

Hindustan Lever Limited (HLL) has informed the stock exchanges that it proposes to transfer by way of sale its tea plantation business, comprising both gardens and factories, in Assam (Doom Dooma Division) and in Tamil Nadu (Tea Estates Division) to wholly owned subsidiaries of the company. The company is seeking shareholders' approval for the proposal, through a postal ballot, and statutory approvals.

25/02/2005:

The Hon'ble Chief Minister of Uttaranchal, Shri N.D. Tiwari, today inaugurated Hindustan Lever Limited's (HLL) state-of-the-art Personal Care factory here, set up with an initial investment of Rs.130 crores. Senior members of Uttaranchal's polity, senior State Government officials, HLL's Vice Chairman, Shri M.K. Sharma, Managing Director (Home & Personal Care), Shri A. Adhikari, and Executive Director (Technology), Shri A.K. Mathur, were present on the occasion.

HLL TO TRANSFER SEWRI UNDERTAKING TO BON LIMITED
16/02/2005:

The Board of Hindustan Lever Limited (HLL) on February 11, 2005, approved that Bon Limited, a wholly owned subsidiary of Hindustan Lever Limited (HLL), will be the transferee company to acquire HLL's Sewri undertaking, engaged in the manufacture of soap and soap intermediates, as a going concern with continuity of service of all workmen. Today's decision follows the Board's decision on November 3, 2004, to transfer the undertaking to a subsidiary of HLL.
