Notice of Postal Ballot

08.12.2023: Seeking approval of Members for appointment of Mr. Tarun Bajaj (DIN:02026219) as an Independent Director of the Company.

The Company has on Thursday, 7th December, 2023, sent e-mail through Kfin Technologies Limited (Kfin), Registrar and Share Transfer Agent of the Company, along with the Login ID and password to the Members for e-voting who have registered their E-mail Id’s with Depository Participant(s) or with the Company for seeking approval of Members of the Company for:

  • Appointment of Mr. Tarun Bajaj (DIN: 02026219) as an Independent Director of the Company for a term of five consecutive years with effect from 1st December, 2023 upto 30th November, 2028.

The Board of Directors of the Company has appointed Mr. S. N. Ananthasubramanian (FCS 4206 : COP 1774), Practising Company Secretary, as the Scrutinizer for conducting the Postal Ballot process, in a fair and transparent manner.

Members are requested to provide their assent or dissent through e-voting only. The Company has availed the service of KFin, for facilitating e-voting to enable the Shareholders to cast their votes electronically. The detailed procedure for e-voting is enumerated in the Notes to the Postal Ballot Notice. Members are requested to note that the e-voting shall commence from Monday, 11th December, 2023, at 9.00 A.M. (IST) and shall end on Tuesday, 9th January, 2024, at 5.00 P.M. (IST).

In line with the MCA Circulars, the Postal Ballot Notice is being sent only through electronic mode to those Members whose email addresses are registered with the Company / Depositories.

The voting rights of Members shall be reckoned as on Friday, 4th December, 2023 which is the ‘cut-off date’. A person who is not a Member as on the ‘cut-off date’ should treat the Notice of Postal Ballot for information purpose only. The copy of the Postal Ballot Notice is available on the Company's website at www.hul.co.in, websites of the Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively, and on the website of KFin at https://www.kfintech.com/. Members who do not receive the Postal Ballot Notice may download it from the above-mentioned websites.

Members holding shares in physical mode and who have not updated their email addresses with the Company are requested to update their email addresses by writing to the Company at levercare.shareholder@unilever.com along with the copy of the signed request letter in Form ISR-1 mentioning the name and address of the Member, self-attested copy of the PAN card, and self-attested copy of any document (eg.: Driving License, Election Identity Card, Passport) in support of the address of the Member. Members holding shares in dematerialised mode are requested to register / update their email addresses with the relevant Depository Participants. In case of any queries / difficulties in registering the email address, Members may write to levercare.shareholder@unilever.com.

The result of the e-voting by Postal Ballot will be announced on Wednesday,10th January, 2024 at the Registered Office of the Company and shall be available on the Company's website at www.hul.co.in.
