Notice of 88th Annual General Meeting

28-05-2021: The Integrated Annual Report of the Company for the year 2020-21 along with the Notice of the AGM has been electronically dispatched to all the Members.

Notice is hereby given that the 88th Annual General Meeting (AGM) of the Company will be held through Video Conference (VC) / Other Audio-Visual Means (OAVM) on Tuesday, 22nd June, 2021 at 3.00 p.m. The venue of the Meeting shall be deemed to be the Registered Office of the Company i.e. Unilever House, B. D. Sawant Marg, Chakala, Andheri (East), Mumbai - 400 099.

The Notice of AGM and Annual Report including the Audited Financial Statements for the financial year 2020-21 have been sent in electronic mode to Members whose e-mail IDs are registered with the Company or the Depository Participant(s) in accordance with the below circulars:

The electronic dispatch of Annual Report to Members has been completed on 26th May, 2021. The copy of the Annual Report is also available on the Company’s website www.hul.co.in.

Voting Rights

Pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company is pleased to provide the facility to Members to exercise their right to vote by electronic means on resolutions proposed to be passed at AGM. Members holding shares either in physical form or dematerialised form, as on Tuesday, 15th June, 2021 (cut-off date), shall cast their vote electronically through electronic voting system (remote e-voting) of NSDL at https://www.evoting.nsdl.com/.

A person whose name is recorded in the Register of Members or in the Register of Beneficial Owners maintained by the Depositories as on the cut-off date only shall be entitled to avail the facility of remote e-voting. All the Members are hereby informed that the Ordinary and Special Business, as set out in Notice of 88th AGM will be transacted through voting by electronic means only.

The remote e-voting period will commence at 9.00 a.m. on Thursday, 17th June, 2021 and will end at 5.00 p.m. on Monday, 21st June, 2021. The remote e-voting module shall be disabled for voting at 5.00 pm on Monday, 21st June, 2021. Once the vote on a resolution is cast by the member, the member cannot modify it subsequently.

Members who have acquired shares after the sending the Annual Report through electronic means and before the cut-off date may obtain the USER ID and Password by sending a request at evoting@nsdl.co.in or Levercare.shareholder@unilever.com. However, if a person is already registered with NSDL for remote e-voting then you may use your existing USER ID and Password, and cast your vote.

Members attending the AGM who have not cast their vote by remote e-voting shall be eligible to cast their vote through e-voting during the AGM. Members who have voted through remote e-voting shall be eligible to attend the AGM, however, they shall not be eligible to vote at the meeting.

The procedure of electronic voting is available in the Notice of the AGM as well as in the email sent to the Members by NSDL. In case of any queries / grievances, you may refer to the ‘Frequently Asked Questions’ (FAQs) for Members and ‘e-voting user manual’ for Members available in the downloads section of the e-voting website of NSDL https://www.evoting.nsdl.com/.

The Notice of AGM is available on the Company’s website www.hul.co.in, on the website of Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited and on the website of NSDL at www.evoting.nsdl.com.

The Register of Members and the Share Transfer books of the Company will remain closed from Wednesday, 16th June, 2021 to Tuesday, 22nd June, 2021 (both days inclusive).

TDS on Dividend

Members holding shares in physical mode and who have not registered / updated their email addresses with the Company are requested to update their email addresses by writing to the Company at levercare.shareholder@unilever.com along with the copy of the signed request letter mentioning the name and address of the Member, self-attested copy of the PAN card, and self-attested copy of any document (eg.: Driving License, Election Identity Card, Passport) in support of the address of the Member.

Members holding shares in dematerialised mode are requested to register / update their email addresses with the relevant Depository Participants. In case of any queries / difficulties in registering the e-mail address, Members may write to levercare.shareholder@unilever.com.

A facility to attend the AGM through VC / OAVM is available through the NSDL e-voting system at www.evoting.nsdl.com

As per the Income Tax Act, 1961, as amended by the Finance Act, 2020, the dividends paid or distributed by a Company after 1st April, 2020 shall be taxable in the hands of the Members. The Company shall deduct Tax at Source (TDS) at the time of making the final dividend. Members are requested to submit the documents in accordance with the provisions of the Income Tax Act, 1961 at https://ris.kfintech.com/form15
